Terms of Use

These Terms of Use govern your access to and use of the Spearow platform. Please read them carefully before using the Service.

01Acceptance of Terms

By accessing or using the Spearow platform, including all associated modules (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you are entering into these Terms on behalf of a company, newsroom, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

The Service is operated under an individual trade license, with its registered office at Nové sady 988/2, 602 00 Brno, Czech Republic, Company ID (IČO): 23791179 ("Spearow," "we," "us," or "our").

02Description of Service

Spearow provides a unified digital-first newsroom ecosystem designed for content creation, editorial workflow management, social-visual creation, and Arabic-native AI assistance.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, including the availability of specific AI models, templates, or third-party integrations, with or without notice.

03Account Registration and Security

To use the Service, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Spearow of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your login information.

04Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Distribute spam, malicious software, or deceptive content.
  • Attempt to reverse-engineer, decompile, or dismantle the Spearow platform, our proprietary workflow architecture, or our underlying AI models.
  • Use the Service to generate defamatory, highly offensive, or illegal content.
  • Exceed reasonable usage limits or attempt to bypass system rate limits.

We reserve the right to immediately suspend or terminate your account if you violate this Acceptable Use Policy.

05Intellectual Property & Content Rights

A. Spearow's IP

We retain all rights, title, and interest in and to the Spearow platform, including its original code base, workflow interfaces, default design templates, and operational algorithms. You are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with your subscription plan.

B. Your Content

You retain all ownership rights to the data, brand kits, raw video footage, and editorial guidelines you upload to the Service ("User Content"). By uploading User Content, you grant Spearow a secure, limited license to host, process, and display this content strictly for the purpose of operating the Service for your team.

C. AI-Generated Output

You own the output generated by Video AI (such as Arabic copy, translations, or video subtitles) prompted by your inputs. However, due to the nature of machine learning, Spearow does not guarantee the factual accuracy, reliability, or uniqueness of AI-generated content. As a newsroom or content publisher, you are solely responsible for human editorial review before publishing any AI-generated output.

06Third-Party Integrations

Spearow integrates with third-party applications to facilitate notifications and publishing (e.g., Slack, WhatsApp, Telegram, social media platforms).

  • We do not control these third-party services and are not responsible for their uptime, API changes, or data practices.
  • Your use of these integrations is governed strictly by the respective terms and policies of those third-party providers.
  • Spearow assumes no liability for publishing failures or communication delays caused by third-party outages.

07Fees, Payments, and Subscriptions

  • Billing: All subscription fees are billed in advance on a recurring basis (monthly or annually) via our authorized payment processor, Stripe.
  • Taxes: Fees are exclusive of applicable taxes (such as VAT), which will be added to your invoice as required by Czech and EU law.
  • Cancellations & Refunds: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle. Payments are non-refundable except where explicitly required by law.

08Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Spearow makes no warranties, express or implied, regarding the platform's fitness for a particular purpose, uninterrupted access, or error-free operation. We are not responsible for data loss due to user error or catastrophic infrastructure failure beyond our direct control.

09Limitation of Liability

To the maximum extent permitted by applicable law, Spearow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, lost revenue, data loss, or business interruption, arising out of your use of the Service. In no event shall our total aggregate liability exceed the total amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim.

10Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Brno, Czech Republic.
